These Terms & Conditions (“Terms”) govern your access to and use of the website, TRC360 digital platform, membership services, programmes, events and other services provided by TRC360 Network Pvt Ltd (“TRC360 Network”, “TRC”, “we”, “us” or “our”), including services delivered through The Referral Collective.

By accessing our website, registering your interest, submitting an application, becoming a Member, accessing TRC360, attending a TRC event or participating in any TRC activity, you acknowledge that you have read, understood and agreed to these Terms.

1. About TRC

TRC is a professional business community designed to create meaningful relationships, trusted introductions, business opportunities, recognition, development and business enablement.

TRC may provide these experiences through its physical Collective activities, meetings, events, programmes, digital services and TRC360 platform.

Participation in TRC does not guarantee any particular number of referrals, introductions, customers, business opportunities, revenue, professional outcomes or other commercial results.

The value of the Collective depends on the participation, conduct, contribution and engagement of its Members and participants.

2. Registration and Membership

Certain TRC services may require registration, application or approval.

You agree to provide information that is accurate, complete and current and to keep that information updated where necessary.

Membership may be subject to eligibility requirements, availability, payment of applicable fees, verification or approval by TRC.

TRC reserves the right to accept, decline, suspend or terminate an application or membership where permitted by applicable law and these Terms.

Membership is personal to the approved Member and may not be transferred, sold or assigned to another person without TRC's approval.

3. Member Information

Members may be asked to provide professional, business and contact information so that TRC can operate the Collective and provide relevant services.

You are responsible for ensuring that the information you provide is accurate and that you have the necessary authority to provide information relating to your business.

You should not provide information belonging to another person unless you have the appropriate permission or lawful basis to do so.

4. Relationships, Introductions and Referrals

TRC facilitates professional relationships, introductions and referrals between Members and other participants.

A referral, introduction or connection does not constitute an endorsement, guarantee, recommendation or representation by TRC regarding the suitability, quality, financial position, performance or conduct of any Member or business.

Members are responsible for conducting their own due diligence before entering into any commercial, professional or financial relationship.

Any transaction, engagement, contract or arrangement entered into following an introduction or referral is between the relevant parties.

TRC is not a party to that arrangement unless expressly agreed otherwise in writing.

5. Member Conduct

Members are expected to conduct themselves professionally and respectfully and to contribute positively to the Collective.

You must not use TRC to:

Misrepresent yourself, your business, qualifications or services
Make misleading or fraudulent claims
Harass, threaten or discriminate against another participant
Distribute inappropriate, unlawful or harmful material
Collect or misuse another Member's information
Conduct activity that could reasonably damage the reputation or integrity of TRC
Use TRC information for purposes unrelated to legitimate professional activity
Attempt to circumvent TRC systems, security or access controls
Engage in unlawful or deceptive business practices

TRC may take appropriate action where conduct is inconsistent with these Terms or the standards expected within the Collective.

6. TRC360

TRC360 is the digital layer supporting the TRC experience.

Depending on the services available to you, TRC360 may include features relating to your profile, business information, relationships, referrals, Open Doors, Coffee Connect, Gratitude Notes, The Collective, TRC Weekly, Invite A Guest, Chapter Analytics, To Do items, recognition, progress and other Collective activities.

Features may change, be added, removed or updated as TRC360 develops.

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.

You must notify TRC promptly if you believe your account has been accessed without authorisation.

7. Member Content

You retain ownership of information, materials and content that you submit to TRC, subject to the rights necessary for TRC to operate its services.

By submitting content or information, you grant TRC the permissions reasonably necessary to store, display, process and use that material to provide the relevant TRC service.

You must ensure that anything you submit does not infringe another person's intellectual property, privacy or other legal rights.

8. Recognition and Participation Records

TRC may record participation, contribution, achievements, referrals, meetings, attendance, recognition and progress within the Collective.

Such records may be used to provide relevant TRC experiences, recognition, analytics and member features.

Recognition or status within TRC does not represent a professional qualification, regulatory accreditation or guarantee of business performance unless expressly stated otherwise.

9. Events and Programmes

TRC may organise meetings, events, training, programmes, inductions and other activities.

Event dates, venues, speakers, programmes and other details may change where reasonably necessary.

Where an activity requires payment, the applicable pricing, cancellation and refund terms will be communicated at the time of registration or purchase.

10. Fees and Payments

Where TRC services require payment, you agree to pay the applicable fees in accordance with the payment terms presented to you.

Fees, membership plans and other charges may change from time to time. Any applicable renewal or recurring payment terms will be communicated before they apply.

Failure to make required payments may result in suspension or termination of access to relevant services.

11. Intellectual Property

TRC360 Network Pvt Ltd and its licensors retain all rights in the TRC name, brands, logos, platform, website, designs, systems, software, content, materials and other intellectual property owned or licensed by TRC.

You may not reproduce, modify, distribute, sell, licence, reverse engineer or commercially exploit TRC intellectual property without prior written permission, except where permitted by law.

Your use of TRC services does not transfer ownership of TRC intellectual property to you.

12. Confidentiality

The Collective may provide access to professional and business information shared by Members.

You agree to treat information received through TRC responsibly and not disclose or misuse confidential information belonging to another Member.

Information that is publicly available, independently obtained or required to be disclosed by law is not treated as confidential solely because it was encountered through TRC.

13. Third-Party Services

TRC may use third-party platforms, technology providers, payment services, communication services, hosting providers and other service providers.

Third-party services may be subject to their own terms and privacy policies.

TRC is not responsible for the independent operation, availability or policies of third-party services outside our reasonable control.

14. Availability of Services

We aim to keep our website and digital services available and functioning effectively, but we do not guarantee that they will always be uninterrupted, error-free or available.

Services may occasionally be unavailable because of maintenance, upgrades, technical issues, security measures or circumstances outside our reasonable control.

15. Disclaimer

TRC provides a platform and environment for professional connection, participation and business development.

We do not guarantee the accuracy of information supplied by Members, the conduct of any Member, the success of any introduction, referral or business relationship, or any particular commercial outcome.

You are responsible for your own business decisions and for evaluating any person, business, opportunity or information encountered through TRC.

16. Limitation of Liability

To the maximum extent permitted by applicable law, TRC360 Network Pvt Ltd will not be responsible for indirect, incidental, special or consequential loss arising from your use of, or inability to use, TRC services.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

17. Suspension and Termination

TRC may suspend or terminate access where a Member breaches these Terms, engages in inappropriate conduct, fails to meet applicable membership requirements, fails to make required payments, misuses TRC services or acts in a manner that may materially affect the Collective or its Members.

Where appropriate, TRC may provide notice or an opportunity to address the issue.

Termination does not affect rights or obligations that by their nature should continue after termination.

18. Changes to These Terms

TRC may update these Terms from time to time to reflect changes to our services, operations, technology or applicable legal requirements.

The updated version will be published on the relevant website or platform.

Your continued use of TRC services after the updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.

19. Governing Law

These Terms shall be governed by and interpreted in accordance with the applicable laws of India.

Any disputes shall be subject to the jurisdiction of the courts and applicable dispute-resolution mechanisms specified by TRC or otherwise required under applicable law.
